Introduction

These Terms & Conditions ("Terms") govern your use of the Ex to X website, participation in the Ex to X community, registration for events, and all related services provided by Ex to X GmbH.

By accessing our website, submitting a community registration, registering for an event, or otherwise interacting with Ex to X, you agree to be bound by these Terms.

1. About Ex to X

Ex to X GmbH ("Ex to X", "we", "our" or "us") is a Berlin-based cultural platform connecting creatives across disciplines through community, collaboration, events, education and cultural programming.

2. Scope

These Terms apply to:

• use of the website

• community registrations

• participation in the Ex to X community

• event registrations

• workshops

• talks

• cultural activations

• collaborations facilitated by Ex to X

• all services offered through our website or related communication channels

Different or additional terms may apply where expressly stated for specific events or collaborations.

3. Eligibility

You must be at least 18 years old to submit a community application or register for an event unless otherwise stated.

By using our services, you confirm that you have the legal capacity to enter into binding agreements.

4. Community Registration

Submitting a community application does not establish membership, employment, representation or any contractual entitlement.

Ex to X reviews registrations to better understand its community and identify opportunities for participation, networking and collaboration.

We reserve the right to:

• accept or decline applications

• request additional information

• remove inactive profiles

• suspend or terminate participation where appropriate

We are under no obligation to provide reasons for accepting or declining an application.

5. Community Conduct

Ex to X is committed to creating an inclusive, respectful and welcoming environment.

By participating in our community or events, you agree to:

• treat others with respect

• communicate professionally

• refrain from discrimination, harassment or intimidation

• comply with venue rules and safety instructions

• respect intellectual property and personal boundaries

The following behaviour may result in immediate removal from our community or events:

• harassment

• hate speech

• discriminatory conduct

• threats or violence

• repeated disruptive behaviour

• unlawful activity

• misuse of community information

6. Collaborations and Introductions

Ex to X may facilitate introductions between creatives, organisations, brands and partners.

Unless expressly agreed in writing:

• Ex to X is not a party to collaborations between members

• Ex to X does not guarantee commercial opportunities

• Ex to X is not responsible for negotiations, contracts, payments or project outcomes between participants

Participants remain solely responsible for agreements entered into with third parties.

7. Events

Event registrations may be managed through third-party platforms including Luma.

By registering for an Ex to X event through Luma, you acknowledge that you have read, understood and agree to be bound by these Terms & Conditions in full.

Additional terms of those providers may apply.

Ex to X reserves the right to:

• change venues

• modify schedules

• replace speakers, artists or contributors

• postpone events

• cancel events where necessary

Where reasonably possible, participants will be informed of significant changes.

8. Attendance

Participants are expected to:

• arrive on time

• follow reasonable instructions from organisers and venue staff

• behave respectfully

• comply with applicable health and safety requirements

We reserve the right to refuse entry or remove attendees whose conduct compromises the safety, wellbeing or experience of others.

9. Photography and Recording

Photographs, audio recordings and video recordings may be created during Ex to X events.

These materials may be used for:

• documentation

• editorial purposes

• websites

• social media

• newsletters

• press

• future promotional materials

• archives

Where required by law, attendees may object to individual photography by notifying a member of the Ex to X team during the event.

10. Community Directory

Ex to X may introduce a member directory in the future.

Participation will always be voluntary.

No profile will be published without the member's consent.

Members remain responsible for ensuring that information they choose to publish is accurate and does not infringe third-party rights.

11. Intellectual Property

Unless otherwise stated, all content made available by Ex to X, including but not limited to:

• logos

• branding

• event concepts

• graphics

• designs

• publications

• photographs owned by Ex to X

• videos

• text

• educational materials

• website content

is protected by applicable intellectual property laws.

No content may be copied, reproduced, modified, distributed or commercially exploited without our prior written permission.

12. User Content

Where you submit photographs, portfolio material, biographies, written content or other materials to Ex to X, you confirm that:

• you own the necessary rights

• the content does not infringe third-party rights

• the content complies with applicable laws

You grant Ex to X a non-exclusive, worldwide, royalty-free licence to use submitted content for the purpose of administering the community, promoting community activities and operating our services, unless otherwise agreed.

You may request removal of your submitted content at any time, subject to legal obligations and reasonable administrative requirements.

13. Website Availability

We strive to keep our website available at all times.

However, uninterrupted availability cannot be guaranteed.

We may suspend access temporarily for maintenance, security, technical improvements or circumstances beyond our reasonable control.

14. Third-Party Services

Our website and services may include links to third-party providers, including event platforms and social media services.

We are not responsible for:

• third-party content

• availability

• security

• privacy practices

• products or services offered by third parties

Your use of those services is governed by their own terms.

15. Data Protection

We process personal data in accordance with applicable data protection laws.

16. Liability

Nothing in these Terms excludes liability where exclusion is prohibited by law.

Subject to applicable law:

Ex to X shall be liable without limitation for:

• intentional misconduct

• gross negligence

• injury to life, body or health

For ordinary negligence, liability shall be limited to foreseeable damage resulting from the breach of an essential contractual obligation.

To the extent permitted by law, Ex to X shall not be liable for:

• indirect loss

• consequential damages

• loss of profits

• loss of business opportunities

• reputational damage

• interruption of business

• data loss not caused by intentional or grossly negligent conduct

Ex to X shall not be liable for the actions or omissions of independent venues, suppliers, artists, speakers, partners or other third parties.

17. Force Majeure

Ex to X shall not be liable for delays or failures resulting from events beyond our reasonable control, including but not limited to:

• natural disasters

• pandemics

• governmental measures

• strikes

• war

• civil unrest

• technical failures

• internet outages

• power failures

• venue closures

• supplier failures

18. Changes to these Terms

We may amend these Terms from time to time to reflect legal, operational or organisational changes.

The most recent version will always be published on our website together with the effective date.

Continued use of our services after publication of updated Terms constitutes acceptance of the revised Terms where permitted by law.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Governing Law

These Terms shall be governed by the laws of the Federal Republic of Germany.

Mandatory consumer protection provisions under applicable law remain unaffected.

21. Jurisdiction

To the extent permitted by law, the place of jurisdiction for disputes arising from these Terms shall be Berlin, Germany.
